KEY 04 / SITE TERMS
Terms of Service
Effective 2 September 2026. These terms govern use of the website at viavo.design. They do not govern paid administrative service contracts, which are set out in our Terms and Conditions.
1. Agreement to these terms
These Terms of Service (“Terms”) form a legally binding agreement between you and VIAVO LTD (“VIAVO”, “we”, “us” or “our”) concerning your access to and use of the website published at https://viavo.design, including its pages, materials, forms and functionality (the “Site”).
By visiting, browsing or submitting a form on the Site, you agree to these Terms and to the Privacy Policy and Cookie Policy they incorporate. If you do not agree, you must stop using the Site. Use of the Site does not create a client relationship, retainer, partnership or any duty on VIAVO LTD to provide administrative work.
2. Operator of the Site
The Site is operated by VIAVO LTD, a company established in the United Kingdom, from 24 St. Davids Drive, Connah's Quay, Deeside, CH5 4SR United Kingdom, in Flintshire, Wales. Contact: executive@viavo.design and +44 7911 123456. That information is provided for the Electronic Commerce (EC Directive) Regulations 2002.
VIAVO LTD provides office administrative services, virtual office and executive administrative support, workflow optimisation, records management, facilities and office operations support, corporate back-office outsourcing, and billing, bookkeeping and administrative coordination. Descriptions on the Site are informational only. They are not an offer, quotation or invitation we are obliged to convert into a contract.
3. Scope: website use, not service engagement
These Terms govern only use of the Site as a public information resource. They are distinct from our Terms and Conditions, which govern paid administrative and support services. Nothing on the Site is professional advice, a binding proposal, or a commitment to accept an instruction. Content about workflow, records, facilities, billing or bookkeeping is general and must not be relied on as accounting, tax, employment or data-protection advice.
Any engagement takes effect only when both parties have agreed written terms, which may include a statement of work, a letter of engagement, a data-processing schedule and our Terms and Conditions. Until then we have no duty to perform administrative work, act as a virtual office, process records, handle billing or bookkeeping, or assume operational responsibility for your organisation.
4. Eligibility and authority
The Site is directed at persons aged eighteen or over with capacity to contract under the law of England and Wales. If you use the Site for an organisation, you confirm you have authority to bind it, and “you” includes that organisation. The Site is intended primarily for users in the United Kingdom. If you access it from elsewhere, you are responsible for local law. We do not warrant that the Site is appropriate or available outside the United Kingdom.
5. Licence to use the Site
We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Site for lawful internal business or personal information purposes. You may print or download extracts for your own records if you do not modify them, you keep proprietary notices, and you do not imply any endorsement that does not exist. You may not copy, scrape, frame, mine, commercially exploit or create derivative works from the Site except as permitted by law or by us in writing.
We may suspend, withdraw or change the Site without notice. We do not guarantee uninterrupted availability. Access may be interrupted for maintenance, hosting issues or legal compliance. We may impose reasonable technical or geographic restrictions for security, capacity or lawful operation.
6. Acceptable use
You must use the Site only for lawful purposes and in a way that does not infringe the rights of others or impair their use of the Site. You must not:
(a) breach any applicable law, including the Computer Misuse Act 1990, the Data Protection Act 2018, UK GDPR, the Fraud Act 2006, the Defamation Act 2013 or the Communications Act 2003;
(b) attempt unauthorised access to the Site, its hosting environment or connected systems, or probe its security except with our prior written consent;
(c) introduce viruses, ransomware or other harmful material, or launch a denial-of-service attack;
(d) scrape, harvest or systematically extract Site content by automated means in a way that burdens our infrastructure or circumvents controls, other than ordinary search-engine indexing consistent with any robots.txt file we publish;
(e) impersonate VIAVO LTD or any other person, or misrepresent your affiliation;
(f) submit false, defamatory, obscene, threatening or infringing material;
(g) send unsolicited advertising or collect contact details of other users;
(h) interfere with the proper working of the Site or circumvent access restrictions;
(i) use Site content to train an artificial-intelligence model without our written consent; or
(j) harass our staff or send abusive or vexatious correspondence.
We may report suspected unlawful activity to the police or the Information Commissioner’s Office and disclose information as the law requires.
7. Intellectual property
The Site and its content, including text, graphics, logos, images, layout and software, belong to VIAVO LTD or our licensors and are protected by United Kingdom copyright, trade mark and design laws and by international treaties. All rights not expressly granted are reserved. “VIAVO”, “VIAVO LTD”, viavo.design and associated logos are our trade names or trade marks and may not be used without written consent except to identify us accurately and lawfully.
These Terms transfer no intellectual property to you. You receive only the licence in clause 5. If you copy material in breach of these Terms, that licence ends and you must, at our option, return or destroy the copies. Intellectual property complaints should be sent to the address in clause 19 with a description of the work, its location on the Site and your contact details. We will consider notices in good faith.
8. Accounts, credentials and contact forms
The Site may include a contact form so that you can send a name, email address and message. That facility is not a client portal, document exchange or secure records system. Submit only accurate information you are entitled to provide. Do not send special category data, payment card details, third-party login credentials, payroll files or confidential client records through the public form unless we have asked you to use a designated secure channel.
If we later provide an account or password-protected area, you must keep credentials confidential and are responsible for activity under your account. Notify us at executive@viavo.design if you suspect unauthorised use. We may disable an account for breach or operational risk. Sending a form does not oblige us to reply, accept an instruction or enter a contract. We may decline abusive, off-topic or unsolicited correspondence.
9. Correspondence you send us
If you send comments, suggestions or other materials through the Site (“Correspondence”), you grant VIAVO LTD a non-exclusive, worldwide, royalty-free licence to use that Correspondence to consider and respond to it and to improve the Site. You confirm you have the right to send it and that it is lawful. We need not publish Correspondence. Testimonials will be used only with consent or another lawful basis in our Privacy Policy. Site forms are not formal notice under a services contract. Contractual notices, invoices and legal process should follow the relevant agreement or be posted to our address.
10. Third-party sites and materials
The Site may link to third-party websites, maps, fonts or analytics tools for convenience. We do not control those resources and are not responsible for their content, availability, privacy practices or terms. A link is not an endorsement. Your use of third-party services is subject to the provider’s terms. We are not liable for loss arising from third-party sites linked from the Site.
11. Information on the Site
Content is general information about VIAVO LTD and our administrative support activities. It is not advice on which you should rely. Obtain specialist advice before acting. We take reasonable care to keep descriptions current but do not warrant completeness or accuracy. Service descriptions and case illustrations are indicative and may be simplified. We are not obliged to update every page. Prices or packages, if mentioned, are subject to a written engagement.
12. Disclaimer of warranties
The Site is provided “as is” and “as available”. To the fullest extent permitted by law, VIAVO LTD excludes all warranties and conditions, express or implied, including satisfactory quality, fitness for a particular purpose, non-infringement and availability. We do not warrant uninterrupted, timely, secure or error-free access, that defects will be corrected, or that the Site is free of viruses. You must configure your own systems and use virus protection. This clause does not affect rights that cannot be excluded, including consumer rights under the Consumer Rights Act 2015.
13. Limitation of liability
This clause applies to the Site and these Terms. It does not limit liability under a separate services contract, which is governed by our Terms and Conditions. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited under the law of England and Wales, including the Unfair Contract Terms Act 1977 where it applies.
Subject to that reservation, VIAVO LTD is not liable in contract, tort (including negligence) or otherwise for loss of profits, business, revenue, savings, opportunity, goodwill or data, or for any indirect or consequential loss, arising from use of or inability to use the Site or reliance on its content. Our total aggregate liability for the Site and these Terms shall not exceed one hundred pounds sterling (GBP 100), reflecting that the Site is a free information resource. Except for liabilities that cannot be limited, your sole remedy if you are dissatisfied is to stop using the Site.
14. Indemnity
You will indemnify VIAVO LTD and its directors, officers, employees and agents against claims, losses and reasonable legal costs arising from your use of the Site in breach of these Terms, your violation of law or third-party rights, or material you submit. We may participate in the defence. You must not settle a claim so as to bind VIAVO LTD without our written consent. This indemnity does not cover our fraud or liability that cannot be excluded by law.
15. Suspension and termination
We may suspend or end your access immediately, without liability, if we reasonably believe you have breached these Terms, if the law requires it, if continued access presents a security or operational risk, or if we discontinue the Site. On termination the licence in clause 5 ends. Intellectual property, disclaimer, liability, indemnity and governing-law clauses survive. Ordinary browsing is free, so ending access does not create a refund.
16. Privacy and cookies
Personal data collected through the Site is handled as described in our Privacy Policy. Cookies and similar technologies are described in our Cookie Policy. Where consent is required for non-essential cookies, we will request it as that policy explains. If you later instruct us for administrative services, processing terms (including where we act as processor) will sit in the services agreement, not in these website Terms.
17. Changes to these Terms
We may revise these Terms to reflect changes in law, our business or the Site. The date at the head of this page is the effective date. Revised Terms apply from publication. Continued use after that date is acceptance. You should review this page periodically.
18. Governing law and disputes
These Terms and any dispute or claim arising from them or from use of the Site, including non-contractual claims, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may sue elsewhere to protect intellectual property, and except that a consumer habitually resident in Scotland or Northern Ireland may use local courts to the extent the law requires. Please contact us under clause 19 before commencing proceedings about the Site.
19. Contact
Questions about these Terms should be sent to VIAVO LTD, 24 St. Davids Drive, Connah's Quay, Deeside, CH5 4SR United Kingdom. Email: executive@viavo.design. Telephone: +44 7911 123456. Do not send original identity documents or large client record sets unless we have agreed a secure method. Privacy questions are covered by our Privacy Policy, cookies by our Cookie Policy, and paid administrative work by our Terms and Conditions.
20. General
If a provision is invalid, it shall be modified to the minimum extent necessary or severed, and the remainder continues. These Terms are the entire agreement on website use and do not replace a signed services agreement or our Terms and Conditions for paid work. You may not assign these Terms without our written consent. We may assign them in a reorganisation or sale of the business. A person who is not a party has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce them. No delay in enforcing a right is a waiver. Headings are for convenience. “Including” means “including without limitation”. Statutes are referred to as amended. The English text prevails over any translation.
